SyncMatters Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SyncMatters services ("Service") provided by SyncMatters, Inc. ("SyncMatters", "we", "us"). By using the Service, you agree to these Terms.
1. Scope and Acceptance
By accessing or using the Service, you confirm that you have read and agree to these Terms, the Privacy Policy, and the Data Processing Agreement (DPA), which are incorporated by reference.
2. Changes to Terms and Service
We may update these Terms from time to time. If changes are material, we will provide reasonable prior notice (e.g., via email or Service notification). Continued use of the Service after such updates constitutes acceptance.
We may modify or discontinue features of the Service with reasonable notice, except where immediate changes are required for security, legal, or operational reasons.
3. Use of the Service
3.1 Eligibility
You must be at least 18 years old and legally capable of entering into this agreement.
3.2 Acceptable Use
You agree not to:
- Violate any applicable law or regulation
- Interfere with or disrupt the Service
- Attempt unauthorized access to systems or data
- Transmit malicious code or spam
4. Data Protection and Privacy
4.1 Roles
For Customer Data processed through the Service:
- You act as the data controller
- SyncMatters acts as a data processor
SyncMatters may act as an independent data controller for limited purposes such as account management, billing, security, and analytics, as described in the Privacy Policy.
4.2 Data Processing
We process personal data only in accordance with your instructions and applicable data protection laws, including GDPR where applicable.
4.3 Security Measures
We implement appropriate technical and organizational measures designed to protect data, including encryption in transit, access controls, and monitoring.
4.4 Subprocessors
We may engage subprocessors to support the Service. A current list is available in our Privacy Policy or upon request. All subprocessors are bound by data protection obligations.
4.5 International Transfers
Where personal data is transferred outside the EEA or UK, we rely on appropriate safeguards such as Standard Contractual Clauses or equivalent mechanisms.
4.6 Data Retention and Deletion
We retain Customer Data only as long as necessary to provide the Service and meet legal obligations. Upon termination, data will be deleted or returned within a reasonable period unless required by law.
4.7 Data Subject Rights
Individuals have rights under applicable data protection laws, including access, correction, deletion, and objection. Requests should be directed to the Customer or as outlined in the Privacy Policy.
4.8 Data Breach Notification
In the event of a personal data breach affecting Customer Data, we will notify you without undue delay and provide relevant information as required by law.
5. Account Responsibilities
You are responsible for:
- Maintaining account confidentiality
- All activity under your account
- Ensuring your data is lawful to process
Where access to third-party systems is required, such access will be limited to what is necessary to provide the Service and subject to appropriate safeguards.
6. Intellectual Property
You retain all rights to your data. We do not claim ownership of Customer Data.
We may use anonymized and aggregated data to improve the Service.
We will only publish testimonials or identifiable information with your explicit consent.
7. Service Availability and Support
We aim to maintain reliable service availability but do not guarantee uninterrupted access. Details on uptime and support are outlined in our Service Level Agreement (SLA).
8. Fees and Payments
Fees are specified at the time of purchase. Unless otherwise stated:
- Fees are billed in advance
- Taxes may apply
Refunds, if any, are governed by applicable law and our refund policy.
9. Termination
You may terminate your account at any time.
We may suspend or terminate access for breach of these Terms or legal requirements. Where possible, we will provide notice.
Upon termination:
- Access to the Service ends
- Data will be deleted or returned as described above
10. Limitation of Liability
To the maximum extent permitted by applicable law, SyncMatters is not liable for indirect, incidental, or consequential damages.
Nothing in these Terms limits liability for:
- Fraud or intentional misconduct
- Death or personal injury caused by negligence
- Data protection violations where liability cannot be excluded
11. Indemnification
You agree to indemnify SyncMatters against claims arising from your misuse of the Service or violation of these Terms.
12. Third-Party Services
The Service may integrate with third-party services. We are not responsible for their content or practices.
13. Governing Law
These Terms are governed by the laws of the United States, without prejudice to mandatory consumer or data protection laws applicable in your jurisdiction.
14. Miscellaneous
- These Terms constitute the entire agreement
- If any provision is invalid, the remainder remains in effect
- We may assign these Terms with notice
